General Terms and Conditions for the Subscription of Shares
In addition to the contractual documents referred to in the application for the opening of an account or custody account, the following terms and conditions shall apply to the subscription of shares:
1. Pure information provision
The client of Saxo Bank (Switzerland) Ltd (“Saxo Bank”) may use the subscription tool in order to subscribe for and/or purchase shares from the offering within the publicly announced offer period, within the limits of the client’s available liquidity.
The information made available in connection with the offering serves exclusively to enable the client to make an independent investment decision. Saxo Bank does not provide any advisory services in connection with enabling the subscription.
2. Subscription or purchase, price range or price, and allocation
Offer / Subscription
The information regarding the shares available for subscription does not constitute a legally binding offer by Saxo Bank. The client’s subscription declaration constitutes the offer to acquire up to the number of shares in the issuer as communicated by the client. The client’s subscription declaration may only be submitted within the respective subscription period provided for.
Acceptance / Price
Acceptance by Saxo Bank shall be effected by the allocation of shares at any price within the price range. Unless a fixed price is expressly specified, the price per share shall only be determined at the end of the offer and subscription period between the issuer and the underwriting banks and shall be communicated together with the allocation.
Allocation practice / Transparency
Saxo Bank’s allocation practice is based on transparent rules that are identical for all clients. In the event of oversubscription, Saxo Bank reserves the right to consider subscriptions only in part or not at all. Upon request, each client shall be informed of the allocation methodology (as soon as all information is available).
3. Prospectus, information provided by the company
The investment considerations / risk factors set out in the prospectus draw attention to the risks associated with independent investment decisions. Saxo Bank assumes no responsibility for the accuracy, completeness or objectivity of the information made available on the issuer’s website.
4. Means of communication, system disruptions
Saxo Bank shall not be liable for any disadvantages arising from incorrect or delayed delivery of e mails, platform messages or other means of communication in connection with the subscription. Saxo Bank does not warrant that the internet pages and/or the subscription tool will always be available without interruption or malfunction, nor that secure data transfer can always be ensured.
